1. Overview
These Terms of Service (“Agreement”) govern the provision of services by Walker Analytics Ltd (Company No. 13657778) (“Agency”) to the client (“Client”). By engaging Agency, Client agrees to the terms outlined below.
2. Services
Agency provides digital analytics services, which may include tracking implementation, data analysis, dashboard creation, consulting, and training. Scope of work will be defined in a separate agreement, proposal, or written communication.
3. Fees & Payment
Services are billed on a time and materials basis at a standard rate of £100 (GBP) per hour unless otherwise agreed in writing.
Invoices are issued monthly and are payable within seven (7) days of the invoice date.
All fees are exclusive of VAT, which will be charged where applicable.
Agency reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (statutory interest at 8% above the Bank of England base rate), plus reasonable recovery costs.
Agency may suspend services if payment is overdue.
4. Time Allocation
Agency may allocate a set number of hours per week or month to Client work. Any additional hours beyond the agreed allocation will be billed at the standard rate.
5. Client Responsibilities
Client agrees to:
Provide timely access to accounts, systems, and data
Respond promptly to requests for information
Ensure accuracy of provided information
Delays in fulfilling these responsibilities may impact delivery timelines.
6. Data & Access
Client retains full ownership of all data and accounts
Agency will be granted appropriate access to perform services
Upon termination, Agency will revoke access within a reasonable timeframe
7. Intellectual Property
All deliverables created by Agency remain the property of Agency until full payment is received. Upon payment, Client is granted a non-exclusive, non-transferable license to use the deliverables.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.
9. Term & Termination
Engagements may include a minimum commitment period as defined in the agreement
After the initial term, either party may terminate with 30 days’ written notice
Early termination may result in fees equal to remaining committed work or a fixed termination fee
10. Non-Payment
Agency reserves the right to pause or terminate services if payment is overdue by more than 14 days.
11. Limitation of Liability
Agency is not liable for:
Business performance outcomes
Data discrepancies caused by third-party platforms
Indirect or consequential damages
Total liability is limited to fees paid in the preceding 3 months.
12. No Guarantees
Agency does not guarantee specific performance results, including but not limited to traffic, conversions, or revenue outcomes.
13. Third-Party Tools
Agency may use third-party platforms (e.g., analytics tools). Agency is not responsible for outages, errors, or changes made by these platforms.
14. Amendments
Agency may update these terms from time to time with reasonable notice.
15. Governing Law
This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.
Both parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
